A Legal Disclaimer

1. Service Nature Clarification: 
 "Wokolako provides both human professionals trained in AI tools and autonomous AI solutions. Outcomes depend on human oversight, algorithmic performance, and client collaboration. Autonomous solutions function under client-configured parameters."
 
2. No Replacement Guarantee : 
 "Deployed talent, training programs, or autonomous tools do not guarantee job displacement prevention, ROI, or specific productivity gains."
 
3. Tool Agnosticism : 
 "We integrate third-party AI tools (e.g., ChatGPT, AutoML) and proprietary autonomous solutions from Gwilaco Labs. We disclaim liability for third-party tool failures; proprietary tools carry limited warranties (see Section D)."
 
4. Ethical AI Boundary : 
 "Professionals and autonomous systems follow client directives but immediately halt operations if unethical use is detected (e.g., deepfakes, discriminatory analytics). Clients indemnify Wokolako against violations." 

Terms & Conditions 

A. Parties & Services
Services: 
  1. Talent Deployment: AI-trained professionals (employees/contractors). 
  2. Autonomous AI Solutions: Algorithmic tools for tasks like data analysis or chatbots. 
  3. Upskilling Programs: Custom training for client teams. 
  4. Custom Hiring: Dedicated talent placements. 
 
B. Talent Deployment Terms
Placement Scope: 
 Talent works under client direction but remains employed/contracted by Wokolako. Clients may not directly hire Talent for 24 months post-engagement without: 
  - (a) Written notice to Wokolako, 
  - (b) Payment of a recruitment fee (20% of Talent’s annualized compensation).
 
Performance Metrics: 
Success measured by pre-agreed KPIs in SOWs (e.g., ‘Reduce data processing time by 30%’). Tool adoption rates are not KPIs. 
 
C. Upskilling Programs 
Outcome Limits: 
Training completion grants certification only after real-world project validation. Wokolako Talent certification requires: 
  - (a) 500+ hours of client project work, 
  - (b) Documented efficiency gains (e.g., ‘Automated 80% of support tickets’). 
 
D. Intellectual Property
Ownership Boundaries: 
  1. Client Projects: IP developed by Talent belongs to the client. 
  2. Gwilaco Labs: Tools/configurations belong to Wokolako. 
  3. Wokolako Property: Designs, processes, or innovations created during employment/engagement (even if client-suggested) belong exclusively to Wokolako, unless covered by a Joint IP Agreement.
 
Training Materials: 
Wokolako retains exclusive IP over AI curricula, frameworks, and methodologies. Clients receive non-transferable licenses.
 
E. Compliance & Ethics
Data Handling: 
1. Talent: Adheres to client data policies; never accesses sensitive data (PII, trade secrets) without a signed DPA. 
2. Wokolako: Does not store/process client data unless for training delivery under NDA + DPA.
3. Autonomous Tools: Data processed in client’s environment; no retention by Wokolako.

Policies

1. Acceptable Use Policy (AUP)
For Talent: 
 "Innovation rewarded (e.g., suggesting workflow improvements), but client-specific configurations must not be replicated verbatim. Generic best practices may be shared."
 
2. Privacy Policy
Data Retention: 
Client training data: Deleted 30 days post-program unless retention is explicitly agreed in writing. Archived data purged after 12 months of inactivity. 
 
3. Cancellation/Refund Policy (Synced with Hour Banking) 
Training Programs: 
Partial refunds only if >50% undelivered. Banked hours (per Refund Policy) expire after 90 days.
 
4. Growth & Ethics Policy
Client Commitment: 
Partners must use AI to augment human work, not eliminate roles unethically. Poaching Wokolako Talent triggers Section B penalties.
